Valendo o que vale, claro, mas no pré market está a valorizar 2,2%

Ciena to buy Nortel's Ethernet unit
Deal valued at $521 million, but other bidders may emerge

WASHINGTON (MarketWatch) -- Ciena Corp. on Wednesday agreed to buy the optical and Ethernet assets of Nortel Networks Corp. in a $521 million deal that would double the size of the company - if the sale actually goes through.
Linthicum, Md.-based Ciena signed a "stalking-horse" agreement to acquire the Nortel assets for $390 million in cash and 10 million common shares, whose value totaled $131 million based on Ciena's closing price Tuesday.
Yet the sale would be subject to approval of U.S. and Canadian bankruptcy courts as well as an auction in which other firms can bid. The odds of a larger rival stepping in with a higher offer appear high based on the sale of Nortel's other key assets.
If Ciena wins the auction, the purchase would represent a big gamble for the Linthicum, Md.-based vendor, a small but successful player in the networking industry. The company's biggest acquisition ever could catapult Ciena into the industry's front ranks if the integrate is handled properly. Any major missteps, however, could cost the company dearly, analysts say.
Ciena Chief Executive Gary Smith told MarketWatch the company knows what it's doing.
"This is a business we really do understand," he said in an interview.
Ciena said the acquisition would add significantly to earnings by fiscal 2011, though the company expects to record onetime costs of $180 million before then to cover integration-related expenses.
Shares of Ciena rose 3.2% to $13.47 in recent trading. Some analysts believed the company would have to pay a much higher price to acquire Nortel's assets.
Growing market
Ciena built its reputation as a cutting-edge supplier of optical equipment that allows large network operators such as AT&T Inc. to handle more Internet traffic at higher speeds and lower costs.
In the past few years, Ciena has rapidly expanded into the Ethernet market and sees strong growth potential. The firm Infonetics Research estimates the overall Ethernet-equipment market could expand to $34 billion by 2013 from $17 billion in 2008.
Nortel was the third-largest global vendor in the optical-network market and has close ties to many large telecommunications companies around the world. Ciena could broaden its customer base and geographic reach by acquiring Nortel's assets.
"This doesn't change our strategy," Smith said. "I really see this thing, if we pull it off, just accelerating our strategy."
The equipment sold by Nortel's optical and Ethernet business is used mainly to link corporate networks in metropolitan areas to the Internet. It has increasing importance in the wireless and consumer markets, too.
A product of the computer world, Ethernet is cheaper and more efficient than traditional telecom-networking technologies. Although demand for Ethernet products has yet to explode in a way that many experts predicted earlier in the decade, global sales continue to grow.
