Adobe, Macromedia See Offering New Products After Deal

Adobe Systems Inc. (ADBE) Chief Executive Bruce Chizen said Monday the company's planned $3.4 billion purchase of Macromedia (MACR) will "create one of the most powerful software companies in the world."
"Together we can offer more meaningful technologies to developers and our industry partners, and together we can build new businesses on top of our established platforms," Chizen said during a conference call to discuss the all- stock deal, expected to close in the fall.
Earlier Monday, Adobe said it had a definitive agreement to acquire Macromedia. Under terms of the deal, Macromedia holders are to receive 0.69 Adobe share for each Macromedia share, representing a purchase price of $41.86 a share, or a premium of 25% to Macromedia's$33.45 closing price Friday.
"This is not a consolidation play," Chizen said. "This is all about growth."
The companies expect some as-yet-unreleased cost savings from the deal, however. San Jose, Calif., where Adobe Systems' headquarters is located, will be the base for the combined companies, and executives said they would build the combined company on top of Adobe's "global infrastructure."
San Francisco, where Macromedia is based, will remain an important location, executives said.
Adobe executives said they expect the deal to be breakeven to slightly additive to earnings in the first 12 months after closing, on a non-GAAP basis. That view excludes the benefits expected from a $1 billion post-acquisition stock repurchase program, Chizen said.
Also during the conference call, Macromedia Chief Financial Officer Betsy Nelson said the company expects fiscal fourth-quarter net revenue to exceed its January forecast of between $108 million and $113 million, based on preliminary estimates from the unaudited March quarter.
"We have continued to see strength," she said.
