Legal merger Getronics and PinkRoccade
On Friday 24 June 2005 the Annual General Meeting of Shareholders of PinkRoccade approved the legal merger between Getronics and PinkRoccade.
The notarial deed of the legal merger was executed yesterday, Monday 27 June 2005, and the legal merger between Getronics and PinkRoccade has become effective today, Tuesday 28 June 2005.
As of today PinkRoccade has ceased to exist, its entire assets and liabilities has now been acquired by Getronics, whilst its remaining shareholders next to Getronics have become shareholders of Getronics by operation of law and in accordance with the merger proposal.
Today Getronics has delivered 13,760,662 ordinary shares (nominal value EUR 0.04 each) to these former holders of ordinary shares PinkRoccade. Application has been made to list these shares on Eurolist by Euronext Amsterdam.
Reverse split of shares Getronics
Today, Tuesday 28 June 2004 after close of trading, each 7 outstanding shares (nominal value
EUR 0.04 each) have been consolidated into 1 share (nominal value EUR 0.28 each).
Listing of and trading in the ordinary shares Getronics (nominal value EUR 0.28 each) on the Eurolist by Euronext Amsterdam will start tomorrow, Wednesday 29 June 2005 at 9.00 hours CET, under the new ISIN-code NL0000355915 (securities code: 35591).
Adjustment conversion price of convertible bonds
As a result of the reverse stock split, Getronics will give notice tomorrow, Wednesday 29 June 2005, through an advertisement in the Official Price List of Euronext Amsterdam and the daily newspaper Het Financieele Dagblad, of an adjustment to the conversion price of the 5.5% unsubordinated convertible bonds due 2008 (the “Convertible Bonds”) issued by Getronics in October 2003. Such adjustment will become effective upon issue of the notice.
Getronics announces that the new conversion price of the Convertible Bonds will be EUR 9.73. The new conversion price will be adjusted in accordance with Condition 4(b)(1)(A) and calculated in accordance with Condition 4(b)(2)(A) of the terms and conditions of the Convertible Bonds

é isso que me aparece no CdInvest, mas estou desconfiado. ALguém sabe a qunto negoceia hoje a GETRONICS?
